§ 1 Scope of Application

(1) These terms and conditions contain the exclusively applicable conditions between you ("Customer") and us, KDH GmbH, Schönbuchstraße 51, 71155 Altdorf. We do not recognize conflicting or deviating terms of the customer unless we have expressly agreed to their applicability.

(2) Our sales staff is not authorized to make oral agreements with you as a customer in connection with the contract that deviate from the order form or these general terms and conditions.

(3) You are considered a consumer within the meaning of § 13 of the German Civil Code (BGB), provided that the purpose of the ordered deliveries and services cannot be attributed to your commercial or independent professional activity.

§ 2 Conclusion of Contract

(1) The presentation of our goods on our website does not constitute a binding offer on our part. You can select products from our range offered and collect them in a virtual shopping cart by clicking the "Add to Cart" button, which you can view at any time via the "Cart" link. You can remove selected products from the shopping cart at any time by clicking the "Remove Product" button. By clicking the "Proceed to Checkout" button, you submit a binding offer to purchase the goods currently in the shopping cart at that time. You will then receive a confirmation email for information purposes only, listing your order. This email does not constitute acceptance of your offer but serves solely to inform you that we have received your order.

(2) A contract between you and us is only concluded with an explicit declaration of acceptance by us, which is sent within four working days via a separate email, shipping notification, or by sending the ordered goods. We store the text of the contract; you can view your order at any time in your personal login area.

§ 3 Prices; Shipping Costs; Payment Terms

(1) All prices on our website include statutory VAT.

(2) Unless expressly agreed otherwise, our prices apply from our warehouse in 71155 Altdorf, including packaging. Collection is only possible by prior arrangement.

(3) Shipping costs are indicated with each product selection. If you wish the goods to be shipped, the applicable shipping costs are indicated in the order form, separately stated in the invoice, and are borne by you. If you prefer a different shipping method, you are responsible for the associated costs.

(4) The purchase price becomes due immediately upon conclusion of the contract. Payment for the goods is optionally made by prepayment, invoice, direct debit, Sofortüberweisung/Giropay, credit card, PayPal, Paydirekt, cash on delivery, or Klarna. In the case of direct debit authorization, we debit your account on the day of the order; for credit card payments, we also debit your account on the day of the order. We use the SSL transmission method to encrypt your personal data. Cash on delivery payment method is not available for all ordered products.

(5) If you have selected the "cash on delivery" payment method and completely or partially withdraw from the contract concluded with us, we will transfer the total amount due to an account designated by you.

(6) Items in our shop are delivered to you by bank transfer/direct debit, credit card (Mastercard, VISA, or American Express), prepayment, PayPal, Sofortüberweisung, or invoice. The possibility of cash discount deduction does not exist (except for explicitly marked special promotions).

§ 4 Availability; Delivery

(1) If a product ordered by you is not available at the time of ordering, we will inform you. If the product is permanently unavailable, we reserve the right not to accept your offer. In this case, no contract is concluded between you and us.

(2) If a product ordered by you is temporarily unavailable at the time of ordering, we will also inform you. In the event of a delivery delay of more than two weeks, we will notify you immediately. You then have the right to withdraw from the contract. Any payments made by you will be promptly refunded.

(3) For payments in advance, we will dispatch the goods promptly upon receipt of funds, unless expressly agreed otherwise or a different delivery period is explicitly stated on the respective product page. We reserve the right to make partial deliveries if this is reasonable for you and necessary for expeditious processing.

§ 5 Retention of Title

We retain ownership of the goods delivered by us to you until full payment of the purchase price for these goods.

§ 6 Our Liability

For our goods, the statutory rights for defects apply unless otherwise agreed as follows:

(1) We are liable - regardless of the legal grounds - for damages or compensation for futile expenses in accordance with the following provisions under letters (a) and (b):

(a) In the case of intent and gross negligence, we are liable without limitation. In the case of ordinary negligence, we are only liable for damages arising from the breach of a material contractual obligation (an obligation whose fulfillment is essential for the proper execution of the contract and on whose compliance you regularly rely and may rely); in this case, however, our liability is limited to the typical, foreseeable damage.

(b) The liability exclusions and limitations under letter (a) do not apply in cases where we have fraudulently concealed a defect or assumed a guarantee for the condition of the item, for damages arising from injury to life, body, or health, and in cases of liability under the Product Liability Act.

(2) To the extent that liability towards us is excluded or limited, this also applies to the personal liability of our legal representatives and vicarious agents.

§ 7 Alternative Dispute Resolution pursuant to Art. 14 (1) ODR-VO and §36 VSBG

The European Commission provides a platform for online dispute resolution (OS), which you can find at http://ec.europa.eu/consumers/odr/. Consumers have the opportunity to use this platform to resolve their disputes. We are generally willing to participate in out-of-court dispute resolution proceedings before a consumer arbitration board. The responsible authority is the Universal Arbitration Board of the Federal Government at the Center for Arbitration e.V., Straßburger Straße 8, 77694 Kehl am Rhein, http://www.verbraucher-schlichter.de.

§ 8 Final Provisions

(1) German law shall exclusively apply. The UN Convention on Contracts for the International Sale of Goods of April 11, 1980 (CISG) does not apply. Mandatory provisions of the state in which you have your habitual residence shall remain unaffected.

(2) Should individual provisions of these General Terms and Conditions be or become invalid, this shall not affect the validity of the remaining provisions.
